TERMS AND CONDITIONS OF SERVICE

1. Scope of Engagement

The Company provides strategic systems planning and structured workflow modeling designed to support the Client’s internal use of artificial intelligence (AI) in the areas of sales processes, lead pipeline development, and social media operations.

The engagement includes:

Design and refinement of internal process frameworks,

Development of strategic models for performance optimization,

Creation of structural roadmaps for team use, and

Ongoing updates to workflow planning documents.

All materials and support are designed exclusively for internal use by the Client. No implementation is performed by the Company, and no specific business outcomes are promised or guaranteed.

2. Non-Taxable Classification

The services delivered under this agreement are strictly intangible. No physical goods, software, digital applications, or third-party tools are sold, transferred, or licensed. The engagement consists entirely of intellectual deliverables in the form of custom planning frameworks, process development, and strategic system design. These activities do not fall within any taxable categories listed under Florida Statutes § 212.05. Therefore, Florida sales tax does not apply.

3. Initial Setup Fee

An initial non-refundable setup fee associated with the listed pricing packages found on the yoursalesautomated.com website is required to begin the engagement. This fee covers account onboarding, business process analysis, and the initial development of internal systems planning. The setup fee must be paid in full prior to any services being provided.

4. Monthly Subscription Fee

A recurring monthly fee associated with the listed pricing packages found on the yoursalesautomated.com website will be charged on the first day of each calendar month. This covers ongoing strategic system updates, framework adjustments, and continued delivery of intangible planning resources. This monthly payment is due in advance and is non-refundable once processed.

5. Engagement Term and Termination

This agreement is active on a month-to-month basis beginning on the date of the first payment. Either party may terminate the agreement at any time with 30 days' written notice. Fees already paid for a billing cycle are non-refundable, and no prorated refunds will be issued.

6. Client Responsibilities

The Client is responsible for all actions, decisions, and outcomes resulting from the use of the materials and frameworks provided. The Company does not participate in implementation or execution of the Client’s operations.

7. Limitation of Liability

The Company is not liable for any direct, indirect, incidental, or consequential damages resulting from the use, misuse, or interpretation of the materials delivered. The Client assumes full responsibility for how the information is applied within their organization.

8. Payment Authorization

By submitting payment, the Client authorizes the Company to charge the selected payment method for the initial setup fee and all future monthly subscription fees unless canceled in writing per the termination terms outlined above.

9. Entire Agreement

These Terms and Conditions represent the full and complete agreement between the parties and supersede all prior agreements or communications, whether written or verbal. 

10. Governing Law and Venue

This agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to this agreement shall be brought exclusively in the state or federal courts located in Broward County, Florida. The parties consent to the personal jurisdiction of such courts and waive any objection to the venue therein.
